DevotedDOC Member Services Agreement
Effective Date: July 20, 2025
By using the DevotedDOC website, mobile application, or any affiliated services (collectively, the โServicesโ), you agree to these terms and consent to all authorizations below. If acting as a personal representative for a Member, you confirm you have the necessary legal authority to consent to care on their behalf, including care for minors.
Part 1: Scope of Services
Eligible Members: Members receiving services from DevotedDOC, including Virtual Care, Weight Management, Addiction Medicine, Functional Medicine, and General Telehealth Services.
Service Description: DevotedDOC provides physician-led virtual care through audio, video, and asynchronous messaging, connecting Members with licensed healthcare professionals via secure web and mobile platforms. Services include urgent care, addiction treatment (Suboxone and other MAT), GLP-1 weight management, functional medicine, and other non-emergency care.
DevotedDOC operates solely as a Management Services Organization (MSO), providing administrative and technical support to a network of independently owned professional medical practices and licensed healthcare providers. DevotedDOC does not practice medicine, nor does it interfere with clinical judgment. Clinical services, diagnoses, and treatment decisions are provided solely at the discretion of the treating physician or licensed healthcare professional.
Providers may order labs, imaging, prescriptions, or referrals as deemed clinically appropriate. Lab and diagnostic services may incur additional costs and are often conducted by third-party providers or facilities outside of DevotedDOC. If referred for follow-up or face-to-face care, you are solely responsible for arranging and bearing the costs of that care.
Wellness and Lifestyle Services: DevotedDOC may provide health coaching and wellness support. Coaches do not offer clinical diagnoses, treatment, or medical advice, but may assist with education and care coordination. These services are not a substitute for professional medical care.
Clinical Boundaries: DevotedDOC is not an emergency service provider. In the event of a medical emergency, you must immediately dial 911 or go to the nearest emergency facility. Do not use DevotedDOC Services for emergencies.
DevotedDOC reserves the right to refuse or discontinue care if, in its sole discretion:
A patient misuses or abuses the platform;
The case is deemed clinically inappropriate for telemedicine, or the patient's condition requires in-person examination or treatment;
The patient fails to meet financial responsibilities;
Scheduled appointments are repeatedly missed or canceled without adequate notice.
Members may suspend or terminate use of the Services at any time, subject to any applicable membership or subscription terms.
Telehealth Risks and Limitations: You acknowledge and accept the inherent risks associated with telehealth services, including, but not limited to:
Technical or network failures, interruptions, or delays that may prevent or delay care;
Limited access to complete medical records, which may increase the risk of misdiagnosis or errors;
While DevotedDOC implements robust security protocols, data breaches or unauthorized access to your health information may still occur despite reasonable precautions;
The absence of in-person physical examination may limit the provider's ability to diagnose or treat certain conditions effectively.
Scope of Prescribing and Pharmacy Policy: DevotedDOC providers may prescribe medications where clinically appropriate and legally permissible. All prescribing practices, especially for controlled substances, are strictly subject to applicable federal and state laws and regulations and are issued only under rigorous clinical protocols. Members have the right to choose their preferred pharmacy. Medication fulfillment may be coordinated through third-party pharmacy partners. DevotedDOC may coordinate with brand-name fulfillment services (e.g., LillyDirect) or compound pharmacies where legally permissible, but DevotedDOC is not responsible for the actions, omissions, or policies of any third-party pharmacy or fulfillment service.
Part 2: Payment and Billing
DevotedDOC operates as a cash-pay platform. You expressly agree to pay for all services rendered unless a prior written agreement or promotional offer applies. Payment is due at the time of service. If participating in a membership or subscription, you agree to automatic charges to your stored payment method in accordance with the agreed-upon terms.
If you pursue insurance reimbursement, DevotedDOC may provide a superbill; however, DevotedDOC makes no representations or guarantees regarding insurance coverage or reimbursement and is not responsible for insurance denials. You remain solely responsible for all charges incurred for Services unless otherwise explicitly stated in writing.
You understand that fees associated with third-party vendors, including but not limited to pharmacy, laboratory, imaging, and fulfillment services, are separate from DevotedDOC fees and are your sole financial responsibility.
Late payment, payment failure, or chargeback abuse may result in immediate suspension or termination of service access. Membership plans, if available, will include clearly stated terms regarding cancellations, refunds, and benefits, which you agree to abide by.
Part 3: Privacy and Communications
Refer to our full Notice of Privacy Practices (NPP) and DevotedDOC Privacy Policy for detailed information on how we collect, use, and protect your data. By using our services, you acknowledge receipt and understanding of the NPP.
We may communicate with you via SMS, email, or secure application messaging to coordinate care, send reminders, and transmit health-related updates. You may opt out of non-essential communication by following the unsubscribe instructions provided. However, opting out of essential communications may impact our ability to provide Services effectively.
Part 4: Telehealth Informed Consent
By proceeding with DevotedDOC Services, I acknowledge and consent to receive services via telehealth.
I understand that telehealth has inherent limitations, including the potential for technological failure, which may disrupt or delay my care. I understand that my protected health information may be transmitted across state lines during the provision of telehealth services. I may withdraw this consent at any time by contacting DevotedDOC, understanding that withdrawal may terminate my ability to receive Services. I understand that DevotedDOC does not guarantee specific results or outcomes from any medical treatment or health service. I may request a copy of my medical records at a reasonable cost, as permitted by law. I am aware that prescriptions, if issued, are based solely on the independent clinical judgment of the treating provider, and are subject to state and federal regulations. I have the right to choose any pharmacy for prescription fulfillment. I understand there may be observers or assistants present during the encounter for educational, training, or support purposes, all of whom are bound by confidentiality obligations. I understand DevotedDOC will make every commercially reasonable effort to comply with state-specific telehealth consent and documentation regulations applicable to my location.
Electronic Records & Signature Consent: You consent to receive all records, notices, and communications related to your care and this Agreement in electronic form. You agree that such electronic records, notices, and communications have the same legal effect as if they were provided in paper form. You further consent to the use of electronic signatures where applicable and agree that such electronic signatures have the same legal validity and enforceability as handwritten signatures.

Part 6: Member Rights and Responsibilities
Member Rights:
To be treated with dignity, respect, and non-discrimination.
To access services and receive clear information regarding available services, costs, and terms.
To actively participate in decisions about your care plan and treatment options.
To privacy and data protection concerning your personal and health information, as outlined in our Privacy Policy and NPP.
To know the identities and professional credentials of your providers.
To file a complaint without fear of retaliation or adverse impact on your care.
To request reasonable disability accommodations or interpretation services as required by applicable law.
Member Responsibilities:
To provide accurate, complete, and truthful medical and personal information to your providers and DevotedDOC.
To actively participate in and adhere to agreed-upon care plans and treatment recommendations.
To meet all financial obligations promptly for services rendered.
To behave respectfully and professionally toward all DevotedDOC staff, providers, and other members.
To comply fully with the terms of this Member Services Agreement, the Privacy Policy, and all other applicable DevotedDOC policies.
To notify DevotedDOC promptly of any changes to your medical condition, contact information, or payment details.
Part 7: Legal Protections
Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, DEVOTEDDOC LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "DEVOTEDDOC ENTITIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF THE DEVOTEDDOC ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE. ALL CLINICAL DECISIONS, DIAGNOSES, AND TREATMENTS ARE MADE SOLELY BY INDEPENDENTLY LICENSED PROVIDERS BASED ON THEIR PROFESSIONAL JUDGMENT, AND THE DEVOTEDDOC ENTITIES EXPRESSLY DISCLAIM ALL LIABILITY FOR SUCH DECISIONS.
Indemnification: You agree to defend, indemnify, and hold harmless DevotedDOC LLC, its affiliates, officers, agents, and providers (the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising from or in any way related to: (a) your access to or use of the Services; (b) your violation of this Agreement or any applicable law or regulation; (c) your misuse of the Services; or (d) any negligent or willful misconduct by you.
Dispute Resolution / Arbitration: ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES. The arbitration shall be conducted in [Insert City, State of DevotedDOC's Primary Business Location], unless otherwise agreed by the parties. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. YOU AND DEVOTEDDOC HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, AND INSTEAD ELECT THAT ALL CLAIMS AND DISPUTES SHALL BE RESOLVED BY ARBITRATION UNDER THIS ARBITRATION AGREEMENT. YOU AND DEVOTEDDOC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. This arbitration clause does not apply to medical malpractice claims, which are governed by the laws and procedures of the relevant state where the medical services were rendered.
Platform Disclaimer: DevotedDOC is a technology platform that facilitates connections between patients and independently licensed healthcare providers. DEVOTEDDOC DOES NOT PRACTICE MEDICINE AND IS NOT A HEALTHCARE PROVIDER. All medical care, diagnoses, and treatments are provided exclusively by independently licensed professional medical entities and their employed or contracted healthcare providers. DEVOTEDDOC EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY ACTS, OMISSIONS, OR CLINICAL DECISIONS MADE BY ANY INDEPENDENTLY LICENSED PROVIDER ACCESSED THROUGH THE SERVICES.
Force Majeure: DevotedDOC shall not be liable for any delay or failure to perform its obligations hereunder resulting from causes beyond its reasonable control, including, without limitation, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes or shortages of transportation facilities, fuel, energy, labor, or materials, power failures, internet outages, cyberattacks, civil unrest, or government restrictions.

By creating an account, accessing, or using DevotedDOC services, I confirm that I have read, understood, and voluntarily agree to all the terms and conditions in this Member Services Agreement. I acknowledge that this Agreement contains important disclaimers, limitations of liability, and a mandatory arbitration clause that affects my legal rights.
